Terms and Conditions of Sales in Saudi Arabia- Fancy Pumps KSA

Fancy Pumps KSA

1. Introduction: These Terms and Conditions of Sale ("Terms") govern all sales of pumps, parts, and related equipment ("Products") by Fancy Pumps KS, herein referred to as "Seller", to you, herein referred to as "Buyer". These Terms take precedence over any buyer's terms and conditions and constitute the entire agreement between Buyer and Seller, superseding all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. 
   
   
2. Payment Terms 

• 2.1 Standard Payment: For individual buyers, the listed prices are cash prices payable upon purchase. 
• 2.2 Varied Payment Terms: Payment terms for commercial clients may vary based on quantities, client history, and other factors, and are subject to written agreement at the time of sale. 
• 2.3 Credit Terms: Subject to credit approval, the Seller may offer payment terms to qualified buyers. 

    3. Delivery Terms 

• 3.1 Delivery Mode: Products will be delivered DPP to the Buyer's designated location from Seller’s warehouses or showrooms across KSA. 
• 3.2 Transfer of Risk: Risk of loss passes to the Buyer upon delivery of the products to the designated location. 

     4. Warranty 

• 4.1 Warranty Period: The Seller provides a two-year warranty against manufacturing defects. 
• 4.2 Warranty Scope: Warranty covers repair or replacement of defective products as determined by the Seller. 
• 4.3 Warranty Exclusions: The warranty does not cover damages due to misuse, unauthorized repair, or normal wear and tear. 

    5. Returns and Defective Items 

• 5.1 Return Policy: Defective items may be returned within 20 days from the date of purchase for repair, replacement, or refund as determined by the Seller. 
• 5.2 Condition of Return: Products must be returned in their original condition, with all original components, and must not have been altered or damaged. 

    6. Minimum Order Quantity 

• 6.1 Individual Buyers: There is no minimum order quantity for individual buyers. 
• 6.2 Commercial Buyers: Minimum order quantities for distributors and agents are stipulated in their respective contracts. 

    7. Discounts and Pricing 

• 7.1 Bulk Discounts: Bulk purchases may be eligible for up to a 20% discount off the listed prices. 
• 7.2 Showroom Discounts: Showroom prices have a maximum discount margin of 10%. 
• 7.3 Special Discounts: Additional discounts for specific projects or clients may be offered at the Seller's discretion.

    8. Order Acceptance: All orders are subject to acceptance by the Seller. An agreement is formed only when the Seller confirms the order in writing. 

    9. Liability Limitations 

• 9.1 Limitation of Liability: The Seller's liability for any claim, whether in contract, tort, or any other theory of liability, shall not exceed the price of the goods which gives rise to the claim. 
• 9.2 Indirect Damages: The Seller shall not be liable for any indirect, special, or consequential damages. 

   10. Governing Law and Jurisdiction 

• 10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. 
• 10.2 Jurisdiction: Any disputes arising out of or in connection with these Terms shall be exclusively resolved in the competent courts of the Kingdom of Saudi Arabia. 

   11. General Provisions 

• 11.1 Amendments: These Terms may be amended only in writing signed by both parties. 
• 11.2 Severability: If any provision of these Terms is found to be invalid, the remaining provisions will remain in full effect. 
• 11.3 Entire Agreement: These Terms constitute the entire agreement between Buyer and Seller regarding the subject matter hereof.
